Buyer Portal Terms and Conditions

These Buyer Portal Terms and Conditions (“Portal Terms”) govern access to and use of the Mate Mobility Buyer Portal operated by Mate Mobility Co., Ltd. and its affiliates, subsidiaries, and related entities, including Mate Mobility USA, Inc(collectively, “Mate Mobility,” “we,” “our,” or “us”). By registering for, accessing, or using the Buyer Portal, you agree to these Portal Terms.

If you access or use the Buyer Portal on behalf of a company, dealer, distributor, golf course, resort, fleet operator, or other organization, you represent and warrant that you are authorized to bind that organization to these Portal Terms. In that case, “you” and “your” refer to both you and the organization you represent.

1. Purpose of the Buyer Portal

The Buyer Portal is a business-to-business platform that allows approved business users to view Mate Mobility product information, review available product specifications and options, select product quantities and configurations, submit quote requests or purchase inquiries, and communicate business interest to Mate Mobility. The Buyer Portal is not a consumer e-commerce store and does not provide automatic order acceptance, online payment processing, final pricing confirmation, delivery commitment, or binding contract formation.

The Buyer Portal is available only to business users and organizations. You may use the Buyer Portal only if you are at least 18 years old, are acting for legitimate business purposes, are authorized to represent your company or organization, provide accurate and complete registration information, and satisfy any account approval requirements established by Mate Mobility. Mate Mobility may approve, reject, suspend, or terminate Buyer Portal access at its discretion.

If you use the Buyer Portal on behalf of a company or organization, you represent that you are authorized to provide information and submit requests on behalf of that company or organization.

2. Eligibility and Authority

To use the Buyer Portal, you may be required to create an account and provide information such as contact name, company name, company address, business email address, login credentials, and additional business contact information requested by Mate Mobility. You agree to provide accurate, current, and complete information and to keep such information updated. You may not create an account using false, misleading, unauthorized, or third-party information.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You agree to use a secure password, restrict access to your account, notify Mate Mobility promptly of unauthorized access or suspected security issues, ensure that only authorized personnel use your account, and not share your account with unauthorized persons. Mate Mobility is not responsible for losses arising from unauthorized use of your account unless caused by Mate Mobility’s own willful misconduct or gross negligence.

The Buyer Portal may allow you to select product specifications, quantities, colors, options, or other details and submit a quote request or purchase inquiry. Submission through the Buyer Portal is only a request for review by Mate Mobility. A submission through the Buyer Portal does not create a purchase order accepted by Mate Mobility, a binding order, a binding quote, a confirmed reservation of inventory, a final price, a delivery commitment, a contract for sale, or acceptance of your terms or conditions.

Mate Mobility may accept, reject, revise, or request clarification regarding any submission. A binding transaction will arise only when Mate Mobility issues written confirmation, accepts a purchase order in writing, signs a separate agreement, issues a written quotation or invoice intended to be binding, or otherwise expressly confirms the transaction in writing through an authorized representative.

5. Quote Requests and Purchase Inquiries

Any actual sale, distribution, dealership, service, warranty, delivery, payment, or support arrangement involving Mate Mobility products may be governed by separate written documentation approved by Mate Mobility. If there is a conflict between these Portal Terms and a separately signed written agreement, the signed written agreement will control for the specific transaction covered by that agreement.

6. Separate Comercial Documents

Product information, images, renderings, specifications, options, availability references, and other content shown in the Buyer Portal are provided for business review and discussion purposes only. Such information may be changed, updated, corrected, or withdrawn at any time. Actual products, specifications, colors, features, options, certifications, availability, and regional configurations may differ from information shown in the Buyer Portal unless expressly confirmed in separate written documentation approved by Mate Mobility.

8. User Responsibilities

You agree to use the Buyer Portal only for lawful and legitimate business purposes. You may not submit false, misleading, incomplete, or unauthorized information; misrepresent your company, authority, location, or business purpose; use the Buyer Portal for consumer, personal, or household purchases; use the Buyer Portal to evaluate, develop, support, or benchmark competing products or services; interfere with the operation or security of the Buyer Portal; attempt to gain unauthorized access to systems, accounts, or data; use automated tools to scrape, copy, harvest, or extract data; upload malware, harmful code, or unlawful content; reverse engineer, decompile, or attempt to derive source code or system logic; or violate applicable law.

The Buyer Portal may contain non-public information, including product information, availability references, technical details, documents, commercial discussions, or other business information. Unless such information is publicly available or expressly authorized for disclosure by Mate Mobility, you agree to treat Buyer Portal information as confidential and to use it only for evaluating or pursuing a business relationship with Mate Mobility.

You may not disclose Buyer Portal information to third parties except to your employees, officers, contractors, advisors, or representatives who need to know the information for legitimate business evaluation and who are bound by confidentiality obligations.

9. Confidentiality

All Buyer Portal content, including product information, images, specifications, drawings, designs, trademarks, logos, software, text, graphics, documents, and other materials, is owned by or licensed to Mate Mobility. Access to the Buyer Portal does not grant you any ownership interest, license, or right to use Mate Mobility intellectual property except for limited internal business evaluation purposes. You may not copy, reproduce, distribute, modify, publish, display, or commercially exploit Buyer Portal content without Mate Mobility’s prior written consent.

By creating a Buyer Portal account or submitting a request, you authorize Mate Mobility to contact you using the business contact information you provide. Communications may include account-related notices, quote responses, product information, availability discussions, transaction-related communications, service and support communications, and business development communications. You may opt out of marketing communications where required by applicable law, but transactional and account-related communications may still be sent as necessary.

Mate Mobility may suspend or terminate your Buyer Portal access at any time if you violate these Portal Terms, provide false or misleading information, fail to maintain an active or eligible account, create security, legal, operational, or business risk, or if Mate Mobility decides to discontinue or modify the Buyer Portal. Upon termination, your right to access and use the Buyer Portal will immediately cease. Sections relating to confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution will survive termination.

12. Suspension and Termination

Your use of the Buyer Portal is subject to our Privacy Policy. By using the Buyer Portal, you acknowledge that Mate Mobility may collect, use, disclose, and retain personal information as described in the Privacy Policy.

13. Privacy

The Buyer Portal is provided on an “as is” and “as available” basis. Mate Mobility does not warrant that the Buyer Portal will be uninterrupted, secure, error-free, complete, accurate, or free from harmful components. Mate Mobility disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, availability, and security, to the maximum extent permitted by law.

14. No Warranty for the Buyer Portal

To the maximum extent permitted by law, Mate Mobility and its affiliates, officers, directors, employees, agents, representatives, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising out of or relating to use of the Buyer Portal, inability to access the Buyer Portal, portal errors, delays, or interruptions, product information shown in the Buyer Portal, quote requests or purchase inquiries submitted through the Buyer Portal, or unauthorized access to your account resulting from your failure to protect login credentials. To the maximum extent permitted by law, Mate Mobility’s total liability arising out of or relating to the Buyer Portal or these Portal Terms will not exceed USD 100.

15. Limitation of Liability

You agree to defend, indemnify, and hold harmless Mate Mobility and its affiliates, officers, directors, employees, agents, representatives, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Buyer Portal, your violation of these Portal Terms, your submission of false or unauthorized information, your violation of applicable law or third-party rights, or your misuse of Mate Mobility information, content, or intellectual property.

16. Indemnification

These Portal Terms are governed by the laws of Republic of Korea, without regard to conflict of law principles. The governing law should be selected based on the Mate Mobility entity that operates the Buyer Portal and enters into commercial discussions with buyers.

17. Governing Law

Any dispute arising out of or relating to these Portal Terms or the Buyer Portal will be resolved in the courts or dispute resolution forum located in [selected jurisdiction], unless otherwise required by applicable law or agreed in writing by the parties. You agree to the personal jurisdiction and venue of such courts or forum.

18. Dispute Resolution

Mate Mobility may update these Portal Terms from time to time. Updated Portal Terms will be posted through the website or Buyer Portal with a revised Effective Date. Your continued use of the Buyer Portal after updated Portal Terms become effective constitutes acceptance of the updated Portal Terms.
